Associate Patricia Obawole deals in corporate matters pertaining to businesses and companies and charities.
Patricia is on hand to assist clients with inception (forming a company), and injection of funds by way of equity, managing the share capital of the company, drafting articles of association, shareholders’ agreements and investment agreements. She creates statutory books for Companies, advising directors as to their responsibilities.
She also assists clients to grow their business by way of acquisition and providing exit strategies by way of sale, and assists clients incentivise their employees by putting share incentive schemes into place.
Patricia specialises in drafting agreements that would regulate the internals of a company such as the articles of association and shareholders’ agreements. These documents are especially important as they form the bedrock of a company. Understanding exactly what the clients wants to achieve and the business relationship between the parties is of paramount importance to ensure that the documents drafted are fit for purpose.
Patricia has been involved in various transactions including complex re-organisations. She recently assisted her Leeds based clients with tax efficient strategies to demerge companies to split property and trading businesses into separate businesses enabling the shareholders to plan for a trade sale of the trading business and retention of the property business which can now be structured as a family investment company.
She has also has experience with advising and empowering employees via an Employee Ownership Trust purchase of a trading business. In 2020 she helped a niche practice of data analysts with their succession planning by handing over the reins to the managing employees.
Finally, Patricia has a soft spot for Charities. Her expertise ranges from assisting clients in setting up charities with various structures including CIO’s and CIC and advising trustees as to their duties. She recently assisted a Bradford based religious group achieve charity status, a task that they had been struggling with for years prior to her involvement!
